The signing authority of a Thailand company can be amended in various ways such as having the directors sign individually or together to bind the company or to set financial maximums the directors are allowed to sign for without shareholder approval.

A resolution from a shareholders meetings is required to amend the signing authority of a Thai company.

Generally, 7 days notice is required to hold a shareholders meeting.

After the shareholder resolves to amend the signing authority, then an application must be submitted to the Ministry of Commerce (MOC) within 14 days after the resolution.

The MOC will then issue an updated company affidavit evidencing the amendment of the signing authority.
